1) Acceptance of Terms
These Terms of Service ("Terms") are a binding agreement between Structure Financial Inc. ("Structure," "we," "our," or "us") and you ("you" or "User") governing your access to and use of the Site. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
Minimum Age. You must be 18 years or older to use the Site.
Language. These Terms are in English, and the English version controls.
Intended Audience. The Site is made available to users in the USA, EU/EEA, UK, and elsewhere except where prohibited by applicable law and sanctions.
2) Scope (What This Covers)
These Terms cover the Structure public websites, including structure.fi, docs.structure.fi, related subdomains, successor domains, the marketing website, email signup or waitlist features, newsletters, public documentation, guides, reference materials, screenshots, diagrams, UI images, examples, and other content made available through the Site.
Structure documentation is provided for informational use by people learning about, evaluating, or using Structure. Documentation is governed by these Terms unless a separate written agreement with Structure expressly applies.
The Site does not by itself provide account sign-in, wallet connections, trading functionality, AI features, paid services, API access, MCP access, or access to any product feature that requires a Structure account. If Structure provides product features, account access, API/MCP access, subscriptions, strategy design, compilation, trading, DEX execution, or other in-app services under separate product terms, those product terms govern those product features.
If these Terms conflict with a separate written agreement or product-specific terms presented by Structure, the separate written agreement or product-specific terms control for the covered product features.
3) No Advice; Informational Only
Content on the Site, including public documentation, examples, screenshots, diagrams, strategy descriptions, configuration flows, metrics, backtest materials, and simulation materials, is for informational purposes only. It is not investment, legal, tax, accounting, trading, financial, or other professional advice. It is not an offer, recommendation, or solicitation to buy, sell, hold, or use any asset, strategy, trading venue, protocol, wallet, product, or service.
You are responsible for your own trading decisions, connected accounts, account permissions, capital allocation, tax treatment, legal obligations, and venue-level risk controls.
4) Trading, Backtest, And Simulation Risk
Trading digital assets and using automated trading strategies involves risk, including market risk, liquidity risk, technology risk, venue risk, smart-contract risk, operational risk, regulatory risk, and loss of capital.
Backtest jobs, simulations, paper deployments, metrics, example strategies, screenshots, diagrams, and documentation examples do not predict future performance and do not guarantee returns, risk reduction, liquidity, fee levels, latency, fills, availability, or live execution quality.
Live market conditions, venue behavior, available liquidity, fees, funding rates, latency, downtime, order handling, account permissions, and execution rules can differ from historical or simulated conditions. You are responsible for reviewing and understanding any strategy, account permission, venue setting, and risk control before using it.
5) Privacy And Data
Structure's Privacy Policy describes how we process personal data on the Site, including the public documentation site at docs.structure.fi.
The public documentation can be browsed without creating a Structure account, connecting a wallet, connecting a trading account, completing KYC, providing private keys, or providing trading credentials. Product features, account access, API/MCP access, wallet connections, trading-account integrations, and other in-app services may be covered by separate product terms or privacy notices.
6) Acceptable Use
You agree not to:
violate any law, regulation, sanctions, or export-control restrictions;
engage in fraud, deception, market manipulation, or other abusive activity;
upload, transmit, or link to malware or harmful code;
access or attempt to access non-public areas, break or circumvent security, interfere with site operation, or scrape, crawl, harvest, copy, reproduce, redistribute, benchmark, or use Site content or assets to create datasets or train models except as permitted by these Terms, a separate written agreement with Structure, robots.txt, or applicable law;
infringe or misappropriate intellectual property, publicity, or privacy rights;
use the Site to harass, threaten, dox, or otherwise harm others.
We may suspend or terminate your access at any time if we believe you breach these Terms or applicable law.
7) Intellectual Property; Documentation License; Feedback
The Site, including public documentation, text, screenshots, diagrams, UI images, examples, graphics, logos, trademarks, service marks, trade names, page designs, and other materials, is owned by Structure or its licensors and protected by law.
Subject to these Terms, Structure grants you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for personal or internal business purposes, including learning about, evaluating, or using Structure.
You may not copy, reproduce, modify, translate, publish, distribute, sell, sublicense, scrape, crawl, harvest, mirror, frame, or create derivative works from the Site or its content except as permitted by these Terms, a separate written agreement with Structure, or applicable law.
You may not use the Site, public documentation, screenshots, diagrams, UI images, examples, logos, trademarks, or other Site assets for model training, model evaluation, benchmarking, dataset creation, automated extraction, competitive intelligence databases, or similar machine-learning or data-mining purposes except as permitted by these Terms, a separate written agreement with Structure, or applicable law.
No license is granted to use Structure's names, logos, trademarks, service marks, trade names, product names, or brand assets except as expressly permitted by Structure in writing.
Feedback. If you submit feedback or suggestions, you grant Structure a perpetual, worldwide, royalty-free, irrevocable license to use them without restriction or obligation to you.
8) Third-Party Services, Venues, Protocols, Wallets, And Providers
The Site may reference or link to third-party venues, protocols, wallets, assets, networks, data providers, infrastructure providers, service providers, or other third parties. These third parties are independent from Structure unless expressly stated otherwise. Their products and services are governed by their own terms, policies, fees, permissions, and risk controls.
Structure does not control third-party venue availability, execution behavior, market liquidity, fees, funding rates, downtime, governance decisions, smart contracts, wallet behavior, account requirements, data availability, or provider performance. References to third parties do not imply endorsement, sponsorship, or responsibility for third-party products, services, content, policies, or practices. You use third-party sites, services, venues, protocols, wallets, and providers at your own risk.
9) Sanctions, Export Controls, and Geoblocking
You represent and warrant that you are not a person or entity on any sanctions list (including those maintained by OFAC (U.S.), HMT (UK), or the EU), are not located in a comprehensively sanctioned jurisdiction, and will not use the Site contrary to applicable export-control or sanctions laws. To comply with law or protect the business, we may geoblock, restrict, or terminate access to the Site at any time, without liability, to the maximum extent permitted by law.
10) Changes To The Site, Documentation, Product Features, And These Terms
Structure may update the Site, public documentation, and these Terms from time to time. Changes to these Terms take effect upon posting to the Site unless a later effective date is stated.
Documentation can describe features, examples, workflows, settings, integrations, venues, or product behavior that change, are not yet available to every user, or depend on account permissions, venue support, product configuration, jurisdiction, or a separate written agreement.
Your continued use of the Site after updated Terms become effective constitutes acceptance of the updated Terms.
11) Disclaimers
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, and for any non-waivable statutory consumer rights. The exclusions and limitations below apply only to the extent permitted by the law applicable to you.
THE SITE AND PUBLIC DOCUMENTATION ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRUCTURE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND ERROR-FREE OPERATION.
STRUCTURE DOES NOT WARRANT THAT DOCUMENTATION, EXAMPLES, SCREENSHOTS, DIAGRAMS, UI IMAGES, CONFIGURATION FLOWS, METRICS, BACKTEST MATERIALS, SIMULATION MATERIALS, VENUE INFORMATION, OR PRODUCT DESCRIPTIONS ARE COMPLETE, CURRENT, ERROR-FREE, OR APPLICABLE TO YOUR ACCOUNT, JURISDICTION, VENUE, WALLET, OR CONFIGURATION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRUCTURE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS SHALL NOT BE LIABLE FOR INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF STRUCTURE FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE SHALL NOT EXCEED THE AMOUNTS YOU PAID (IF ANY) TO USE THE SITE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN SUCH CASES, THE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED.
12) Indemnity
To the maximum extent permitted by law, you agree to indemnify, defend, and hold harmless Structure and its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or third-party rights.
13) DMCA Notice and Takedown
If you believe content on the Site infringes your copyright, send a notice that complies with 17 U.S.C. section 512(c)(3) to our designated agent:

Your notice must include the required elements under the DMCA. We may remove content and terminate repeat infringers as appropriate. Note: For U.S. DMCA safe-harbor protections, a designated agent should be registered with the U.S. Copyright Office.
14) Governing Law; Binding Arbitration; Waivers
Governing Law. These Terms are governed by the laws of the British Virgin Islands ("BVI"), without regard to conflict-of-law rules.
Seat/Place of Arbitration: Tortola, BVI.
Language: English.
Tribunal: One arbitrator.
Confidentiality: The arbitration and any related proceedings shall be confidential to the fullest extent permitted by law.
Relief: The arbitrator may grant any relief available in court, including injunctive relief. Notwithstanding the foregoing, either party may seek temporary or injunctive relief in any court of competent jurisdiction to protect its confidential information or intellectual property pending arbitration.
Class-Action Waiver. To the fullest extent permitted by law, disputes are resolved only on an individual basis and may not be brought as a plaintiff or class member in any purported class, consolidated, collective, or representative proceeding.
Jury-Trial Waiver (to the extent any dispute is litigated rather than arbitrated). You and Structure waive any right to a jury trial to the maximum extent permitted by law.
Time to Bring Claim. Any claim must be filed within one (1) year after the claim arose, or be forever barred, to the fullest extent permitted by law.
Consumers in the EU/EEA and the UK. Nothing in this section deprives a consumer of the mandatory protections of the law of their country of residence. If you are a consumer in the EU/EEA or the UK, you may bring proceedings before the courts of your country of residence under its law, and the binding arbitration, the class-action waiver, the jury-trial waiver, and the one-year limitation period do not apply to you where prohibited by the law applicable to you.
15) Miscellaneous
Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force.
No Waiver. Failure to enforce a provision is not a waiver of the right to do so later.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets, or by operation of law.
Force Majeure. We will not be liable for failure or delay resulting from any event beyond our reasonable control, including internet or utility failures, acts of God, labor disputes, or acts of government.
Entire Agreement. These Terms constitute the entire agreement between you and Structure regarding the Site and supersede prior understandings on the same subject.
Order of Precedence. If Structure later presents product-specific terms, those terms govern those product features in the event of a conflict.
